1. Acceptance of Terms

By accessing and using the services of VIACCE | Business & Technology, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you must not use our services.

2. Service Description

VIACCE | B&T provides software development, technology consulting, and digital solutions that include, but are not limited to:

• Custom software development
• Mobile application development
• Web platform and e-commerce development
• Technology and process consulting
• User experience design (UX/UI)
• Business process automation

3. Project Agreements

Each development project will be governed by a specific agreement that details:

• Project scope and deliverables
• Timeline and delivery deadlines
• Costs, payment terms, and billing conditions
• Intellectual property rights
• Post-launch warranties and support
• Change and modification procedures

4. Client Responsibilities

The client agrees to:

• Provide accurate and complete information
• Actively collaborate during project development
• Provide timely feedback
• Make payments as agreed
• Respect intellectual property rights
• Report any issues or concerns promptly

5. Intellectual Property

Intellectual property rights for developed software will be determined in the specific project agreement. Generally:

• Custom code developed specifically for the client will be owned by the client upon full payment
• VIACCE retains rights to its own reusable tools, frameworks, and components
• All third-party software licenses will be respected

6. Payments and Billing

Payment terms will be established in the project agreement. They typically include:

• Initial payment (generally 30-50% of total)
• Milestone or stage-based payments
• Final payment before delivery
• Overdue payments may incur late interest
• Work may be suspended if payments are delayed

7. Warranties and Support

VIACCE provides:

• Functionality warranty per agreed specifications
• Post-launch support period as agreed
• Critical bug fixes at no additional cost during the warranty period
• Ongoing maintenance services available through a separate contract

8. Limitation of Liability

VIACCE shall not be liable for indirect, incidental, special, or consequential damages resulting from the use or inability to use our services. Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.

9. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the project. Additional non-disclosure agreements (NDAs) may be signed as needed.

10. Termination

Either party may terminate the agreement under the following conditions:

• Material breach of terms
• Mutual written agreement
• Insolvency or bankruptcy of either party
• In case of termination, a proportional account settlement for completed work will be made

11. Modifications

We reserve the right to modify these terms at any time. Modifications will take effect immediately after publication on our website. Continued use of our services constitutes acceptance of the modified terms.

12. Applicable Law

These terms shall be governed and interpreted in accordance with applicable laws, without regard to conflict of law provisions. Any dispute shall be resolved through arbitration or in competent courts.
